ARTICLE IV - GENERAL PROVISIONS
4.1 Disclaimer. You understand and agree that the value you will derive from the Mastermind Business Academy will be in proportion to the level of effort you put forth; your level of comprehension; your background, skill, and level of desire and willingness to act on the information provided; and external factors like world events, market conditions, employment, relationships, and other unknowns. Due to these unknowns and the variability across these factors, there is no way of knowing how well you will do or the results you may achieve. Mastermind has not, cannot, and will not make any guarantee of success, growth, income, or savings whether explicit or implied.
4.2 Assignments. This Agreement is not assignable by any party without the prior written consent of Mastermind. Any assignment without such written consent shall be void.
4.3 Notices. Any notices to be given hereunder by either party to the other shall be in writing either by email, or delivery by mail-certified return receipt requested. Notices shall be addressed to the parties at the addresses as set forth above, until and unless such party changes the specified address by written notice to the other.
4.4 Jurisdiction and Venue. This Agreement shall be governed in all respects, including its validity, interpretation, and effect, and construed by and in accordance with the laws of the State of Arizona, including, without limitation, its limitation of action and other procedural laws without giving effect to the principles of conflict of laws of the State of Arizona. If any action were to go to court, the courts in Maricopa County, Arizona are the exclusive jurisdiction of that dispute.
4.5 Legal Construction. If any portion (word, clause, phrase, sentence, paragraph, or section) of this Agreement or the application thereof to any person, entity or circumstance, shall to any extent be invalid or unenforceable, the remainder of this Agreement, or the application of such portion to persons or entities or circumstances other than those as to which it is invalid or unenforceable, shall not be affected hereby, and such portion shall be considered independent and severable from the Agreement, and this Agreement shall be enforced as if such portion did not exist.
4.6 Attorney Fees. If any action or other legal proceeding is initiated by Mastermind against Student relating to this Agreement or its subject matter, Mastermind shall be entitled to recover, in addition to all damages allowed by law, equity and other relief, all court costs, and all reasonable attorney’s fees incurred by reason thereof.
4.7 No Third-Party Beneficiaries. Nothing in this Agreement, express or implied, is intended or shall be construed to confer upon any person, firm, entity, organization, or corporation other than the parties hereto and Mastermind, as third-party beneficiaries or otherwise, and all the terms, covenants and conditions hereof shall be for the sole and exclusive benefit of the Parties.
4.8 Voluntary. Student has been or has had the opportunity to seek the advice and guidance of their own counsel in the review, interpretation, negotiation, and execution of this Agreement. This Agreement is as if both parties constructed.
4.9 Entire Agreement. This Agreement represents the entire understanding and agreement between the Parties with respect to the subject matter of this Agreement, and supersedes all other negotiations, understandings, and representations, if any, may by and between the Parties.
4.10 Cancellation. Student may cancel this transaction, without penalty or obligation within fourteen (14) calendar days from the initial payment, after which the sale is final. All cancellation requests must be in writing. If Student chooses to cancel, a written notice must be sent via email to businessacademy@mastermind.com. Mastermind will consider any refund requests outside of the initial fourteen (14) calendar day period on a case-by-case basis. If Student terminates their enrollment after having attended, participated, or had access to the Mastermind Business Academy community, their tuition refund will be reduced based on length of membership in The Business Academy in which the Student has had access to. The prorated amount will be determined as follows:
For Student s who chose to cancel: One sixth (1/6) of the Students total purchase price will be withheld for a Student who have had access to the Program for between fifteen (15) and 29 days. After the first thirty (30) days of enrollment in the program, one-sixth (1/6) of the of the total price paid will be withheld for each month (30 days) that the student has access to the program and materials. For example, if a Student has access to the program for sixty (60) days, 2/6 (e.g. $5,997/6 x 2 = $1,999) of the total price of the Program will be withheld.
4.11 Cancellation Process. To request a cancellation, participants must send an email to businessacademy@mastermind.com with the details outlining the reason for their request.
